Terms of Service
Last updated November 1, 2026
These terms are the agreement between you and CER LLC, the company that runs Panel Pals (“Panel Pals”, “we”, “us”), for using panelpals.com and its apps (the “Service”). By creating an account or using the Service you agree to them, and to our Privacy Policy. If you don’t agree, please don’t use Panel Pals.
1. Who can use Panel Pals
- You must be at least 13 years old, and old enough in your country to agree to these terms yourself. If you’re under 18, a parent or guardian must agree to them for you.
- You may only have one account, the details you give us must be true, and you’re responsible for everything done with your account. Keep your password private and tell us straight away if you think someone else has used it.
- Panel Pals is in beta and joining is by invitation. Features may change, break or go away while we build it.
2. Your content
“Your content” is everything you put on Panel Pals: files, folders, links, notes, wall posts, comments, messages, your profile and photos.
- You keep ownership of your content. You give us a worldwide, non-exclusive, royalty-free licence to store, copy, process, display and send your content only as needed to run Panel Pals for you: for example to show your desktop to the people you’ve chosen, make previews and thumbnails, and keep backups. This licence ends when your content is deleted from the Service, except for copies other people have saved (below) and backups that expire in the normal course.
- Sharing means people can keep a copy. When you let pals see a file or folder, they can save a copy to their own desktop, download it, or attach it to a post or message. Their copy is theirs: deleting your file doesn’t delete theirs. Only share what you’re comfortable with others keeping.
- You’re responsible for your content. You promise you have the right to upload and share it (you made it, own it, or have permission), and that sharing it doesn’t break the law or anyone else’s rights, including copyright, trademark, privacy and publicity rights.
3. What isn’t allowed
You must not use Panel Pals to upload, share, link to or do any of the following:
- Anything illegal, or that promotes or helps with illegal activity.
- Any sexual content involving minors. We have zero tolerance: we remove it, close the account and report it to the authorities (in the US, the National Center for Missing & Exploited Children).
- Intimate or sexual images of someone shared without their consent, or sexual content that is violent or exploitative.
- Harassment, bullying, threats, stalking, hate speech, or content that encourages violence or self-harm.
- Other people’s private information (addresses, ID documents, financial details) without their permission.
- Content you don’t have the rights to, such as pirated films, music, software or books.
- Viruses, malware, phishing, scams, spam, or misleading links.
- Pretending to be someone else, or misleading people about who you are.
- Attacking or interfering with the Service: trying to get into accounts or data that aren’t yours, getting around privacy settings or limits, scraping, or overloading our systems.
- Selling, renting or trading accounts or invites.
4. Your information
Our Privacy Policy explains what information Panel Pals collects and how it’s used, including your account details, what you upload and share, and technical information such as IP addresses and logs that keep the Service secure. By using Panel Pals you confirm you’ve read it. Some features rely on other services (for example KLIPY for GIFs, and websites you link to), whose own terms apply to what they show; we aren’t responsible for their content.
5. Reports, removal and suspension
- Anyone can report content with the Report option on a file or folder, or by emailing support@panelpals.com. We review reports and may look at the reported content to do so.
- We may remove any content, or limit, suspend or close any account, at our discretion, if we believe it breaks these terms, is harmful or unacceptable, puts Panel Pals or others at risk, or if the law requires it. We may do this without warning, though we’ll usually tell you.
- We may keep and share information about content or accounts with law enforcement where the law requires it or to protect people from harm.
- We don’t check everything people upload in advance, and we aren’t responsible for content other people post.
6. Copyright complaints
If you believe something on Panel Pals infringes your copyright, email support@panelpals.com with: your contact details; the work you own; where the infringing material is on Panel Pals (the person’s username and the file’s name); a statement that you believe in good faith the use isn’t authorised; and a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorised to act for them, with your physical or electronic signature. We remove infringing material and close the accounts of repeat infringers.
7. Ending your account
You can stop using Panel Pals at any time. To close your account and delete your content, email us from the address on your account. We can also end or suspend your access as described in section 5. Sections 2 (the responsibility parts), 3, 8, 9, 10 and 12 continue to apply after your account ends.
8. The Service is provided “as is”
We work hard to keep Panel Pals running and your files safe, but the Service is provided “as is” and “as available”, without warranties of any kind, to the fullest extent the law allows. We don’t promise it will always be available, error-free or secure, or that content will never be lost. Keep your own copies of anything important.
Files from other people are at your own risk. Panel Pals doesn’t check files for viruses or malware. Programs, installers and files with macros can harm your device or data when opened, and we warn you before you save or download one. We aren’t responsible for any damage, loss or other harm caused by a file you save, download, open or run, whoever shared it. Only open files from people you trust.
9. Limits on our liability
To the fullest extent the law allows, Panel Pals and the people who run it won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, profits or goodwill, arising from your use of the Service or content posted by others, including files that contain viruses or malware. Our total liability for any claim about the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or US$50. Some places don’t allow these limits, so they may not all apply to you.
10. Your responsibility to us
If someone brings a claim against us because of your content or your breaking these terms, you agree to cover our reasonable costs and losses from it, to the extent the law allows.
11. Changes
We may update these terms as Panel Pals grows. If the changes are important we’ll tell you, and ask you to accept the new terms the next time you use the Service. If you don’t accept them, you can stop using Panel Pals and close your account.
12. Which law applies, and disputes
These terms are governed by the laws of the State of Kansas, USA, and applicable US federal law, without regard to conflict-of-law rules. Any dispute about Panel Pals or these terms will be heard only in the state or federal courts located in Kansas, and you and we agree to those courts’ jurisdiction. If you live outside the United States, you keep any protections the law where you live gives you that can’t be waived by agreement.
13. Everything else
These terms and the Privacy Policy are the whole agreement between you and us about Panel Pals. If part of them can’t be enforced, the rest still applies. If we don’t enforce something straight away, we can still enforce it later. You can’t transfer this agreement to anyone else; we may transfer it if Panel Pals is reorganised or sold.
